Steps to establish a limited liability company (LLC):
- Data collection
-e.g. Company name, registered office, members, managing directors, etc. - Preparation of the documents required for the establishment of the LLC
The following points should be regulated in the articles of association of the LLC:
- name and registered office of the LLC
- members of the LLC, registered capital (the minimum amount of the registered capital of the LLC is HUF 3,000,000), registered capital of the members
- the minimum capital of a LLC is HUF 3,000,000 (minimum capital of the GmbH), the minimum capital of the LLC is HUF 3,000,000 (minimum capital of the GmbH), the type of registration
- the activities that the company wishes to register
- if required by law, members of the supervisory board of the LLC, auditors
3. Signing of the documents required for the establishment of the LLC
The validity of the articles of association of the GmbH:
- a written record
- signature of all shareholders
- countersignature by a lawyer
4. Payment of legal costs for the establishment of the GmbH
- HUF 50,000 fee (simplified procedure)
- HUF 5,000 publication fee and
- HUF 5,000 annual membership fee at the Chamber of Commerce and Industry.
- 5. Submission of the documents required for the establishment of a limited liability company to the competent court
- the documents required for the establishment of the LLC must be submitted to the court within 30 days of the signing of the partnership agreement
- legal representation is required when registering the company
6. Registration of the LLC
